# AI Model License Agreement This AI Model License Agreement ("Agreement") is entered into as of ___________ by and between: **Licensor:** ___________, a ___________ organized under the laws of ___________, with its principal place of business at ___________ ("Licensor"); and **Licensee:** ___________, a ___________ organized under the laws of ___________, with its principal place of business at ___________ ("Licensee"). --- ## 1. Definitions 1.1 **"Model"** means the machine-learning model (including its weights, architecture specification, tokenizer, configuration files, and accompanying documentation) identified in Section 2. 1.2 **"Derivative Model"** means any model created by Licensee through fine-tuning, adapter training, quantization, distillation, pruning, or any other modification of the Model's weights or architecture. 1.3 **"Deploy"** means to serve the Model or a Derivative Model as an inference endpoint accessible to end users, whether through an API, embedded application, on-device runtime, or otherwise. 1.4 **"Distribute"** means to make the Model or a Derivative Model available to third parties in any form, including open-source release, sale, sublicense, or transfer. 1.5 **"Field of Use"** means the specific application domains and use cases in which Licensee is authorized to Deploy or Distribute the Model, as specified in Section 3.2. 1.6 **"Output"** means any text, code, image, audio, video, or other artifact generated by inference on the Model or a Derivative Model. 1.7 **"Safety Policy"** means Licensor's published acceptable-use policy and safety guidelines for the Model, as updated from time to time, currently available at: ___________. 1.8 **"Applicable AI Law"** has the meaning given in the AI Vendor Addendum template, and includes without limitation the EU AI Act (Regulation (EU) 2024/1689) and any state AI law in force in a jurisdiction where Licensee Deploys the Model. --- ## 2.
