# Appraisal Contingency Addendum This Appraisal Contingency Addendum ("Addendum") is entered into as of ___________ and amends and supplements the Real Estate Purchase Agreement dated ___________ ("Purchase Agreement") between ___________ ("Buyer") and ___________ ("Seller") for the real property located at ___________, ___________, ___________, ___________ ("Property"). All capitalized terms not defined herein have the meanings given in the Purchase Agreement. The Purchase Price under the Purchase Agreement is ___________. --- ## 1. Appraisal Contingency This transaction is contingent upon the Property being appraised at a value equal to or greater than ___________ ("Minimum Appraisal Value") by a licensed or certified appraiser engaged by Buyer's lender (or, if Buyer is paying cash, engaged by Buyer directly) in accordance with the Uniform Standards of Professional Appraisal Practice (USPAP). ## 2. Appraisal Deadline Buyer shall cause the appraisal to be ordered and completed on or before ___________ ("Appraisal Deadline"). Buyer shall provide Seller with a copy of the completed appraisal report within two (2) business days of Buyer's receipt of such report. Time is of the essence as to this deadline. ## 3. Appraisal at or Above Minimum Value If the appraised value equals or exceeds the Minimum Appraisal Value, this contingency is satisfied. Buyer shall deliver written notice of satisfaction to Seller ("Contingency Removal Notice"), and the transaction shall proceed to closing in accordance with the Purchase Agreement. ## 4. Appraisal Below Minimum Value If the appraised value is less than the Minimum Appraisal Value ("Appraisal Shortfall"), the parties shall have ___________ calendar days after Buyer delivers the appraisal report to Seller ("Renegotiation Period") to negotiate in good faith.
