Manager's Duties The Manager shall use reasonable efforts to: (a) Advise and counsel the Artist on matters relating to the Artist's career in the entertainment industry. (b) Seek and negotiate engagements, appearances, endorsements, and business opportunities on the Artist's behalf. (c) Coordinate with booking agents, record labels, publishers, publicists, and other industry professionals. (d) Assist in developing and implementing career strategy, branding, and marketing plans. (e) Review and advise on contracts and business proposals (not constituting legal advice). (f) ___________ The Manager is not an employment agent or talent agent, and nothing in this Agreement shall be construed as creating an agency relationship where prohibited by law. The Parties acknowledge that certain states, including California (Talent Agencies Act, Cal. Labor Code § 1700 et seq.) and New York (General Business Law Article 11), regulate talent agencies and may impose licensing requirements on persons who procure employment for artists. The Manager shall not engage in activities that require a talent agency license unless the Manager holds such license. If any provision of this Agreement conflicts with applicable state talent agency laws, such laws shall control.
