# Brewery / Winery Distribution Agreement This Brewery / Winery Distribution Agreement ("Agreement") is entered into as of ___________ by and between: **Producer:** ___________, a ___________ organized under the laws of ___________, with its principal place of business at ___________ ("Producer"); and **Distributor:** ___________, a ___________ organized under the laws of ___________, with its principal place of business at ___________, holding distributor license number ___________ ("Distributor"). --- ## 1. Definitions 1.1 **"Products"** means the alcoholic beverages manufactured or sourced by Producer and listed in Exhibit A attached hereto, as amended by written mutual agreement from time to time. 1.2 **"Territory"** means the geographic area described in Section 3 of this Agreement. 1.3 **"Case Equivalent"** means twenty-four (24) twelve-ounce bottles or cans, or the volumetric equivalent thereof. 1.4 **"Depletions"** means units of Products sold by Distributor to licensed retail or on-premise accounts within the Territory. 1.5 **"Term"** has the meaning set forth in Section 14. 1.6 **"TTB"** means the Alcohol and Tobacco Tax and Trade Bureau of the United States Department of the Treasury. --- ## 2. Grant of Distribution Rights 2.1 **Appointment.** Subject to the terms and conditions of this Agreement, Producer hereby appoints Distributor as its ___________ distributor for the Products within the Territory for the Term. 2.2 **Acceptance.** Distributor accepts such appointment and agrees to use commercially reasonable efforts to promote, market, sell, and distribute the Products throughout the Territory. 2.3 **Reservation of Rights.** Producer reserves the right to sell Products directly to consumers through Producer-operated tasting rooms, brewpubs, and on-site retail facilities, to the extent permitted by applicable state law. All other sales within the Territory shall be channeled through Distributor unless otherwise agreed in writing. 2.4 **Sub-distribution.** Distributor shall not appoint sub-distributors or delegate its distribution rights without Producer's prior written consent. --- ## 3.
