# Motor Carrier Agreement This Motor Carrier Agreement ("Agreement") is entered into as of ___________ by and between: **Shipper:** ___________, a ___________ organized under the laws of ___________, with its principal place of business at ___________ ("Shipper"); and **Carrier:** ___________, a motor carrier licensed by the Federal Motor Carrier Safety Administration ("FMCSA") with USDOT Number ___________ and MC Number ___________, with its principal place of business at ___________ ("Carrier"). --- ## 1. Services ### 1.1 Transportation Services Carrier shall transport freight tendered by Shipper, including freight tendered by Shipper as agent for its subsidiaries, affiliates, customers, and suppliers (collectively "Cargo"), between points designated in each Bill of Lading, Rate Confirmation, or other shipment document issued by Shipper ("Shipment Document"). Carrier accepts each tender by executing the Shipment Document or by taking possession of the Cargo. ### 1.2 Exclusive Possession and Control Carrier shall have exclusive possession, control, and use of the motor vehicle(s) transporting Cargo while in transit. Carrier's drivers are Carrier's employees or authorized contractors; Shipper exercises no control over driving operations. ### 1.3 No Brokering Carrier shall not subcontract, broker, or assign any load tendered by Shipper to any other motor carrier without Shipper's prior written consent on a per-load basis. Unauthorized subcontracting or double-brokering is a material breach of this Agreement. --- ## 2. Term This Agreement commences on ___________ and continues until terminated by either party on ___________ days' written notice. Termination does not affect obligations with respect to Cargo in transit at the time of notice. --- ## 3.
