Purpose and Regulatory Background The Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010 (Dodd-Frank Act), Section 954, directed the SEC to adopt rules requiring listed companies to implement and enforce clawback policies for executive compensation. The SEC finalized Rule 10D-1 under the Securities Exchange Act of 1934 on October 26, 2022 (effective January 27, 2023), and the NYSE and Nasdaq adopted conforming listing standards effective October 2, 2023. This policy is intended to comply with those requirements and, where applicable, supplements any broader recoupment authority the Company retains as a matter of contract or equity. ### 2. Covered Compensation The clawback obligation under the SEC's mandatory rule applies to **Incentive-Based Compensation**, defined as any compensation that is granted, earned, or vested based wholly or in part on the attainment of a financial reporting measure.
