# Freight Forwarding Agreement This Freight Forwarding Agreement ("Agreement") is entered into as of ___________ by and between: **Shipper:** ___________, a ___________ with its principal place of business at ___________ ("Shipper"); and **Forwarder:** ___________, licensed by the Federal Maritime Commission (FMC License No. ___________), OTI Bond No. ___________, and/or licensed customs broker (CBP No. ___________), with its principal place of business at ___________ ("Forwarder"). --- ## 1. Scope of Services Forwarder shall provide the following freight forwarding and related services ("Services") on behalf of Shipper: **Services:** ___________ Services may include, as agreed: ocean freight booking and documentation (bills of lading, sea waybills); air freight booking and documentation (air waybills); inland transportation arrangement; customs clearance and brokerage; cargo insurance procurement; dangerous goods certification; consolidation and deconsolidation (LCL/FCL); warehousing at origin or destination; cargo tracking and status reporting; issuance of certificates of origin, shipper's export declarations (SED/EEI), and other regulatory filings. **Trade Lanes Covered:** ___________ **Mode of Transport:** ___________ --- ## 2. Term This Agreement commences on ___________ and continues for ___________ months, unless terminated earlier pursuant to Section 12. Thereafter, this Agreement auto-renews month-to-month unless either party provides ___________ days' written notice. --- ## 3. Forwarder's Authority and Duties Forwarder is authorized to: (a) book cargo space with carriers on Shipper's behalf; (b) sign bills of lading, sea waybills, and air waybills as Shipper's agent; (c) file Electronic Export Information (EEI) in AES/AES Direct as required by 15 C.F.R. Part 30; (d) submit import entries and CBP documentation as required; (e) arrange cargo insurance if Shipper requests in writing; and (f) pay carrier freight charges and customs duties on Shipper's behalf to be reimbursed per Section 5. Forwarder shall: (a) use commercially reasonable efforts to book space on carriers offering competitive rates, transit times, and service levels; (b) provide Shipper with copies of all material transport documents within ___________ business days of issuance; (c) promptly notify Shipper of any delay, damage, loss, or regulatory hold; and (d) maintain all required NVOCC/OTI/broker licenses in good standing. --- ## 4.
