# General Release of Claims (Unilateral) ## Parties This General Release of Claims ("Release") is entered into as of ___________ ("Effective Date") by and between: **RELEASOR:** ___________, with a principal address at ___________ ("Releasor"); and **RELEASEE:** ___________, with a principal address at ___________ ("Releasee"). The Releasor and Releasee are each referred to herein individually as a "Party" and collectively as the "Parties." --- ## Recitals **WHEREAS**, a dispute or potential dispute has arisen between the Parties regarding the following matter: ___________ (the "Dispute"); **WHEREAS**, the Parties desire to resolve and settle the Dispute without the time, expense, and uncertainty of litigation; **WHEREAS**, in consideration of the payment by Releasee to Releasor of the sum of ___________, plus the following additional or alternative consideration: ___________ (collectively, the "Consideration"), the adequacy and sufficiency of which the Releasor hereby acknowledges, the Releasor agrees to execute this Release; **NOW, THEREFORE**, in consideration of the Consideration and the mutual covenants set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows. --- ## 1. Release of Claims **1.1 General Release.** Subject to Section 1.4 below, Releasor, on behalf of itself and its respective heirs, executors, administrators, personal representatives, successors, assigns, agents, officers, directors, members, shareholders, employees, and any other person or entity claiming by, through, or under Releasor (collectively, "Releasor Parties"), hereby fully, finally, and unconditionally releases, acquits, and forever discharges Releasee and its respective heirs, executors, administrators, personal representatives, successors, assigns, agents, officers, directors, members, shareholders, employees, affiliates, subsidiaries, parent companies, insurers, attorneys, and all other persons or entities acting by, through, or under Releasee (collectively, "Releasee Parties") from any and all claims, demands, actions, causes of action, suits, debts, dues, sums of money, accounts, reckonings, bonds, bills, specialties, covenants, controversies, agreements, promises, variances, trespasses, damages, judgments, executions, claims, liabilities, obligations, costs, expenses, and losses of every kind and nature whatsoever, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, matured or unmatured, contingent or absolute, in law or in equity, that the Releasor Parties ever had, now have, or may hereafter have against any of the Releasee Parties arising out of, related to, or in connection with the Dispute or any facts, circumstances, transactions, occurrences, acts, omissions, or events existing or arising on or before the Effective Date (collectively, "Released Claims"). **1.2 Scope of Released Claims.** The Released Claims include, without limitation: (a) any claim for breach of contract, breach of the implied covenant of good faith and fair dealing, fraud, misrepresentation, negligence, gross negligence, recklessness, intentional infliction of emotional distress, defamation, tortious interference, unjust enrichment, conversion, or any other tort; (b) any claim under any federal, state, or local statute, regulation, ordinance, or common law; (c) any claim for attorneys' fees, costs, or expenses; and (d) any claim that was asserted or could have been asserted in any proceeding relating to the Dispute. **1.3 Waiver of Unknown Claims — California Civil Code § 1542.** Releasor expressly acknowledges that it has been advised of, and is familiar with, the provisions of California Civil Code § 1542, which provides: > *"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."* Releasor expressly waives and relinquishes all rights and benefits it has or may have under California Civil Code § 1542 and any similar statute or common law principle of any other jurisdiction to the fullest extent permitted by law. Releasor acknowledges that it may hereafter discover facts different from or in addition to those it now knows or believes to be true with respect to the Released Claims, and agrees that this Release shall be and remain in full force and effect in all respects notwithstanding any such different or additional facts or the discovery thereof.
