Contractor shall submit invoices to Company, and Company shall pay each invoice within thirty (30) days of receipt. ## 4. Independent Contractor Status Contractor is an independent contractor and not an employee, agent, or partner of Company. Contractor shall be solely responsible for all taxes, insurance, and benefits. Contractor retains the right to control the manner and means of performing the Services. ## 5. Confidentiality "Confidential Information" means any non-public information disclosed by either Party in connection with this Agreement, including but not limited to business plans, customer data, pricing, technical information, and trade secrets. Each Party agrees to: (a) hold the other Party's Confidential Information in strict confidence; (b) not disclose it to third parties except to employees or agents with a need to know who are bound by similar confidentiality obligations; and (c) use it solely for the purposes of this Agreement.
