Final disciplinary agreement that outlines specific behavioral or performance commitments the employee must meet to avoid termination, used when progressive discipline has been exhausted.
The Last-Chance Agreement is a ready-to-use employment & hr template you can send for signature in minutes. It is written for 2 signers (employer and employee) and, by default, expires 30 days after it is sent if left unsigned. It covers discipline, last chance, performance improvement. Like every Abundera Sign template it is a convenience draft structured for ESIGN Act and UETA compliance, not a substitute for legal advice. Each signed copy is sealed with PAdES-LTA digital signatures, dual RFC 3161 timestamps, and a tamper-evident evidence package in WORM storage.

# Last-Chance Agreement This Last-Chance Agreement (the "Agreement") is entered into by and between ___________ (the "Company" or "Employer") and ___________, serving in the role of ___________ (the "Employee"), as of ___________. The Company's human resources representative for this Agreement is ___________. This Agreement is a final disciplinary measure. It sets out the conditions under which the Employee may continue employment with the Company and the consequences if those conditions are not met. ## 1. Background The Company and the Employee have engaged in progressive discipline prior to this Agreement. The Employee's relevant disciplinary history is summarized as follows: ___________. This Agreement is entered into in lieu of the immediate termination that the Company would otherwise be entitled to impose based on the history described above. By offering this Agreement, the Company gives the Employee a final opportunity to correct the conduct or performance at issue. ## 2. Employee Acknowledgment The Employee acknowledges and agrees that: (a) the prior disciplinary history described in Section 1 is accurate, or has been fully discussed with the Employee; (b) continued employment is conditioned on the Employee's strict compliance with this Agreement; (c) this Agreement represents the Employee's final opportunity to retain employment with the Company; and (d) any further violation of Company policy, or any failure to meet the conditions in Section 3, will result in immediate termination without further warning and without further progressive discipline. ## 3. Required Commitments As a condition of continued employment, the Employee agrees to the following specific commitments: ___________. These commitments will be monitored over a period of ___________ (the "monitoring period"), beginning on the date of this Agreement. ## 4. Compliance Monitoring The Company will review the Employee's compliance with this Agreement at the end of the monitoring period. During the monitoring period, the Employee's supervisor will provide written progress notes at reasonable intervals. The Employee may request a mid-period check-in to review progress. Where applicable, a union representative or other employee advocate may accompany the Employee at any review meeting held under this Agreement. ## 5. Consequences of Non-Compliance Any violation of this Agreement, or any conduct that would warrant discipline regardless of this Agreement, will result in the Employee's immediate termination. The Employee waives any claim that further progressive discipline, additional warnings, or a further improvement period was required before termination.
