# Logistics Services Agreement This Logistics Services Agreement ("Agreement") is entered into as of ___________ by and between: **Client:** ___________, a ___________ organized under the laws of ___________, with its principal place of business at ___________ ("Client"); and **Provider:** ___________, a ___________ organized under the laws of ___________, with its principal place of business at ___________ ("Provider"). --- ## 1. Services ### 1.1 Scope of Services Provider shall furnish the logistics services described in **Exhibit A** (Services Schedule) ("Services"), which may include any combination of: transportation management, freight brokerage, carrier selection and negotiation, inbound and outbound routing, load optimization, shipment tracking and visibility, customs brokerage, freight audit and payment, reverse logistics, warehouse management, and reporting and analytics. ### 1.2 Service Commencement Services shall commence on ___________, subject to completion of any transition or onboarding activities described in Exhibit A. ### 1.3 Dedicated Resources Provider shall assign a dedicated account manager, ___________, as Client's primary point of contact. Provider shall ensure adequate staffing and technology infrastructure to meet the service levels in Section 3. --- ## 2.
