# Manufacturing Agreement This Manufacturing Agreement ("Agreement") is entered into as of ___________ by and between: **Client:** ___________, a ___________ organized under the laws of ___________, with its principal place of business at ___________ ("Client"); and **Manufacturer:** ___________, a ___________ organized under the laws of ___________, with its principal place of business at ___________ ("Manufacturer"). --- ## 1. Manufacturing Services ### 1.1 Scope Manufacturer shall manufacture, assemble, test, and deliver to Client the goods described in **Exhibit A** (Product Specifications) ("Products") in accordance with the specifications, drawings, bills of materials, and test procedures set forth therein and in any purchase orders issued by Client ("Purchase Orders"). Exhibit A is incorporated by reference. ### 1.2 Manufacturing Facility Manufacturer shall perform all manufacturing at its facility located at ___________ ("Facility"). Manufacturer shall not subcontract any manufacturing or assembly operations without Client's prior written consent. Approved subcontractors are listed in Exhibit B (if any). ### 1.3 Purchase Orders Client shall submit Purchase Orders specifying Products, quantities, delivery dates, and ship-to addresses. Manufacturer shall acknowledge each Purchase Order within ___________ business days. Accepted Purchase Orders are binding. --- ## 2. Term This Agreement commences on ___________ and continues for ___________ year(s), unless terminated earlier under Section 12. Thereafter, the Agreement renews automatically for successive one-year periods unless either party provides at least ___________ days' prior written notice of non-renewal. --- ## 3. Materials and Components ### 3.1 Client-Supplied Materials Client shall supply the materials and components listed in Exhibit A as "Client-Supplied" ("CSM") in such quantities and on such schedule as necessary for Manufacturer to meet accepted delivery dates. Title to CSM remains with Client at all times. Manufacturer shall: (a) receive, inspect, store, and handle CSM with reasonable care; (b) use CSM solely for producing Products under this Agreement; and (c) maintain adequate insurance covering CSM while in Manufacturer's possession. ### 3.2 Manufacturer-Supplied Materials
