Recitals (a) The Franchisor owns and operates a franchise system under the trade name(s) and trademarks identified herein (the "System"). (b) The Franchisor has developed proprietary methods, know-how, trade secrets, trademarks, and branding associated with the System. (c) The Master Franchisee desires to obtain the exclusive right to develop and sub-franchise within the Territory, and the Franchisor is willing to grant such rights under the terms of this Agreement. ## 2. Franchise System **Brand/System Name:** ___________ **Industry/Category:** ___________ **Franchise Description:** ___________ ## 3. Territory **Exclusive Territory:** ___________ **Territory Type:** ___________ The Master Franchisee shall have the exclusive right to develop and sub-franchise within the Territory. The Franchisor shall not: (a) grant franchises to others within the Territory; (b) operate company-owned units within the Territory; or (c) solicit customers within the Territory, except through national marketing programs. **Territory Exclusions (if any):** ___________ ## 4. Grant of Rights (a) The Franchisor grants the Master Franchisee the exclusive right to: (i) develop franchise units within the Territory; (ii) recruit, screen, and grant sub-franchises within the Territory; (iii) use the Franchisor's trademarks, trade names, and System within the Territory; and (iv) adapt and localize the System as approved by the Franchisor.
