# Master Service Agreement **Effective Date:** ___________ This Master Service Agreement ("Agreement" or "MSA") is entered into by and between: **Service Provider:** ___________ ("Provider") **Client:** ___________ ("Client") (each a "Party" and collectively the "Parties"). ## 1. Purpose This Agreement establishes the terms and conditions under which Provider shall perform services for Client as described in one or more Statements of Work ("SOW") executed pursuant to this Agreement. Each SOW shall be governed by and incorporated into this Agreement. ## 2. Statements of Work ### 2.1 SOW Requirements Each SOW shall include, at a minimum: (a) a description of the services to be performed; (b) deliverables, milestones, and timelines; (c) fees and payment terms; (d) acceptance criteria; and (e) any project-specific terms. ### 2.2 SOW Precedence In the event of a conflict between this Agreement and a SOW, ___________. ### 2.3 Change Orders Changes to an active SOW shall be documented in a written change order signed by both Parties before work commences on the changed scope. ## 3.
