# Music Publishing Agreement This Music Publishing Agreement ("Agreement") is entered into as of ___________ between: **Publisher:** ___________ ("Publisher"), a company organized under the laws of ___________, with its principal place of business at ___________; and **Songwriter:** ___________ ("Songwriter"), professionally known as ___________, residing at ___________. Publisher and Songwriter are each referred to herein as a "Party" and collectively as the "Parties." --- ## 1. Definitions **"Compositions"** means all musical compositions (including lyrics and music) written or co-written by Songwriter during the Term, whether alone or in collaboration with others, as listed in Schedule A and any future Schedule A supplements executed during the Term. **"Publishing Income"** means all gross revenues actually received by Publisher from the exploitation of the Compositions, including mechanical royalties, performance royalties, synchronization fees, print income, digital income, and sub-publishing receipts, less only: (a) collection society deductions; (b) direct sub-publisher commissions not to exceed ___________%; and (c) reasonable out-of-pocket costs approved in advance by Songwriter. **"Writer's Share"** means the portion of performance royalties payable directly by performing rights organizations (PROs) to Songwriter in Songwriter's capacity as writer, which shall never pass through Publisher's account. --- ## 2. Term The term of this Agreement ("Term") shall commence on the date of full execution and continue for an initial period of ___________ year(s) ("Initial Term"), unless sooner terminated in accordance with this Agreement. Publisher shall have ___________ option(s) to extend the Term for additional periods of ___________ year(s) each, exercisable in writing no later than ___________ days before expiration of the then-current period. --- ## 3. Grant of Rights ### 3.1 Co-Publishing (Retained Share) Subject to Section 3.2, Songwriter hereby assigns, transfers, and conveys to Publisher an undivided ___________% interest in the worldwide copyright in and to all Compositions created during the Term ("Publisher's Copyright Share"), including all rights of reproduction, distribution, public performance, synchronization, adaptation, and all other rights now known or hereafter developed, for the full copyright term and all renewals and extensions thereof. Songwriter retains an undivided ___________% interest in the copyright in each Composition ("Songwriter's Copyright Share"). ### 3.2 Administration Rights Publisher shall have the exclusive right to administer, exploit, license, and otherwise control the Compositions worldwide during the Term and for ___________ year(s) following the expiration or termination of this Agreement ("Post-Term Administration Period"), subject to Songwriter's approval rights set forth in Section 4.
