# NFT License Agreement This NFT License Agreement (this "Agreement") is entered into as of the date last signed below (the "Effective Date") by and between: **Creator:** ___________, an individual or entity with a principal address or place of business at ___________ ("Creator"); and **Holder:** ___________, with a principal address at ___________ ("Holder"). --- ## 1. Background and Definitions 1.1 Creator has created an original digital work described as follows: ___________ (the "Artwork"). 1.2 The Artwork has been minted as a non-fungible token with the following identifying information: - **NFT Name / Token ID:** ___________ - **Smart Contract Address:** ___________ - **Blockchain:** ___________ - **Token Standard:** ___________ (collectively, the "NFT"). 1.3 Holder has acquired ownership of the NFT through a legitimate purchase or transfer on the blockchain specified above. 1.4 **"Underlying Artwork"** means the visual, audio, audiovisual, textual, or other creative content depicted in, associated with, or linked from the NFT, including any metadata, images, videos, audio files, or other digital files associated with the NFT, as further described in the metadata URI: ___________. 1.5 **"Commercial Use"** means any use of the Underlying Artwork in connection with the sale of goods or services, advertising, sponsorship, merchandising, or any other activity that directly or indirectly generates revenue. 1.6 **"Commercial Revenue Threshold"** means ___________ in gross annual revenue derived from Commercial Use of the Underlying Artwork, above which the royalty provisions of Section 4 apply. --- ## 2. Creator Ownership 2.1 **Retained Rights.** Creator retains all copyright, moral rights, and other intellectual property rights in the Underlying Artwork. Creator retains the right to display the Underlying Artwork in Creator's portfolio, to exhibit it, and to discuss Creator's creation of it for any purpose. The NFT represents a unique token on the blockchain; it does not, by itself, transfer copyright or any other intellectual property rights to Holder, except as expressly granted in this Agreement. 2.2 **Other Collections.** Creator may create other derivative works, editions, or collections based on Creator's broader artistic practice. This Agreement does not restrict Creator's creation of other artworks that are stylistically similar to the Underlying Artwork, provided such other works are independently created and not reproductions of the specific Underlying Artwork. ---
