# Non-Compete and Non-Solicitation Agreement **Effective Date:** ___________ This Non-Compete and Non-Solicitation Agreement ("Agreement") is entered into by and between: **Company:** ___________ ("Company") **Individual:** ___________ ("Individual") ## 1. Consideration In consideration of: ___________, and other good and valuable consideration, Individual agrees to the restrictions set forth herein. ## 2. Non-Competition During the term of Individual's relationship with Company and for a period of ___________ following termination (the "Restricted Period"), Individual shall not, directly or indirectly, engage in, own, manage, operate, or provide services to any business that competes with Company within the following geographic area. For purposes of this Agreement, a competing business is one that offers products or services substantially similar to those offered by the Company as of the date of this Agreement or during the Restricted Period. Notwithstanding the foregoing, the Individual may own up to five percent (5%) of the outstanding securities of any publicly traded company, even if such company competes with the Company. ___________ ## 3. Non-Solicitation of Employees During the Restricted Period, Individual shall not, directly or indirectly, solicit, recruit, or hire any employee or contractor of Company, or induce any such person to terminate their relationship with Company. ## 4. Non-Solicitation of Customers During the Restricted Period, Individual shall not, directly or indirectly, solicit or attempt to divert any customer, client, or business opportunity of Company with whom Individual had contact or about whom Individual obtained confidential information during the relationship. ## 5. Confidentiality Individual acknowledges that during the relationship, Individual will have access to trade secrets and confidential information. Individual agrees to maintain the confidentiality of all such information during and after the relationship. ## 6. Reasonableness Individual acknowledges that the restrictions in this Agreement are reasonable and necessary to protect Company's legitimate business interests, including goodwill, confidential information, and customer relationships. ## 7.
