# Simple Agreement for Future Tokens (SAFT) This Simple Agreement for Future Tokens (this "Agreement") is entered into as of the date last signed below (the "Effective Date") by and between: **Company:** ___________, a ___________ organized under the laws of ___________ ("Company"); and **Investor:** ___________, with a principal address at ___________ ("Investor"). --- ## 1. Recitals 1.1 Company is developing a decentralized protocol and/or network (the "Network") and intends to issue cryptographic tokens associated with the Network (the "Tokens"). 1.2 Investor desires to obtain the contractual right to receive Tokens upon a qualifying Network Launch (as defined herein), and Company desires to grant such right in exchange for the consideration set forth herein, all on the terms and conditions set forth in this Agreement. 1.3 The parties acknowledge that the Tokens have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), and that this Agreement and any Tokens issued pursuant hereto are being offered and sold in reliance upon the exemption from registration provided by Section 4(a)(2) of the Securities Act and Rule 506(c) of Regulation D promulgated thereunder. --- ## 2. Definitions 2.1 **"Discount Rate"** means ___________% applied to the Token price at Network Launch to calculate Investor's Token price. 2.2 **"Equity Financing"** means a bona fide transaction or series of transactions with the principal purpose of raising capital, pursuant to which Company issues and sells preferred or common equity securities for aggregate gross proceeds of at least ___________. 2.3 **"Investment Amount"** means ___________, representing the total consideration paid by Investor to Company pursuant to this Agreement. 2.4 **"Network Launch"** means the date on which the Network is deployed to a public mainnet and Tokens are first made available for transfer by persons other than Company, as determined in good faith by Company's board of directors or equivalent governing body. 2.5 **"Token Allocation"** means the number of Tokens Investor is entitled to receive upon Network Launch, calculated as the Investment Amount divided by the Token Price (as defined in Section 4.1). 2.6 **"Valuation Cap"** means ___________, which is the maximum Network valuation at which Investor's Investment Amount will be converted to Tokens for purposes of calculating the Token Price. --- ## 3. Investment 3.1 **Payment.** Investor shall deliver the Investment Amount to Company by wire transfer or other immediately available funds within five (5) business days of the Effective Date, to the account designated in writing by Company.
