# Service Agreement **Effective Date:** ___________ This Service Agreement ("Agreement") is entered into as of the Effective Date by and between: **Service Provider:** ___________ (the "Provider") **Client:** ___________ (the "Client") (each a "Party" and collectively the "Parties"). ## 1. Services The Provider agrees to perform the following services for the Client: ___________ (the "Services"). ## 2. Compensation In consideration for the Services, the Client agrees to pay the Provider: **Payment Amount:** ___________ **Payment Terms:** ___________ Unless otherwise agreed in writing, payment is due within the selected payment terms from the date of invoice. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is less. ## 3. Term and Termination This Agreement shall commence on the Effective Date and continue until the Services are completed, unless earlier terminated. Either Party may terminate this Agreement: (a) upon thirty (30) days' written notice to the other Party; (b) immediately upon written notice if the other Party materially breaches this Agreement and fails to cure such breach within fifteen (15) days of receiving written notice thereof; or (c) immediately upon written notice if the other Party becomes insolvent, files for bankruptcy, or ceases to conduct business in the normal course.
