# Tolling (Toll Manufacturing) Agreement This Tolling Agreement ("Agreement") is entered into as of ___________ by and between: **Material Owner:** ___________, a ___________ organized under the laws of ___________, with its principal place of business at ___________ ("Material Owner"); and **Processor:** ___________, a ___________ organized under the laws of ___________, with its principal place of business at ___________ ("Processor"). --- ## 1. Tolling Services ### 1.1 Nature of Arrangement Under this Agreement, Material Owner shall deliver raw materials, intermediate goods, or other inputs ("Feed Materials") to Processor, and Processor shall process, convert, or transform the Feed Materials into finished or semi-finished goods ("Finished Goods") as specified in **Exhibit A** (Process Specifications) and return the Finished Goods to Material Owner. Processor provides only labor, equipment, utilities, and processing know-how; Processor does not purchase or take beneficial ownership of any Feed Materials or Finished Goods. ### 1.2 Title Title to and beneficial ownership of the Feed Materials and all Finished Goods derived therefrom remain with Material Owner at all times. The Feed Materials and Finished Goods shall at no point be assets of Processor, shall not be available to Processor's creditors, and shall not be commingled with Processor's own inventory. ### 1.3 Processing Specifications All processing shall conform to the specifications, procedures, parameters, and quality standards set out in Exhibit A. Processor shall not deviate from the Specifications without Material Owner's prior written approval. ### 1.4 Processing Facility Processor shall perform all services at ___________ ("Facility") using equipment listed in Exhibit B. Processor shall not subcontract any processing operations without Material Owner's prior written consent. --- ## 2.
