1. Definitions

2. Account, subscription, and billing

2.1 Account creation

Senders must be at least 18 years old and authorized to bind any organization on whose behalf they send envelopes. Accurate contact information is required. You're responsible for maintaining the confidentiality of your authentication credentials and API keys.

2.2 Subscription plans

Abundera Sign is offered on monthly or annual subscriptions starting at $29/month. Plan limits (envelopes per month, API calls, seats) are listed on the pricing page and enforced via rate-limit headers and quota counters.

2.3 Billing and auto-renewal

Subscriptions auto-renew at the end of each billing period unless cancelled. Billing is processed by Stripe; we never see or store your full card number. Currency is USD by default; localized pricing may be offered in supported markets.

2.4 Failed payments

If a payment fails we retry per Stripe's standard schedule (typically 3 attempts over 14 days). If all retries fail the account moves into a 14-day "past due" state during which signing is paused but existing signed envelopes remain accessible. After 14 more days the account is suspended; data is preserved per §4 retention rules.

2.5 Taxes

Prices are exclusive of any sales tax, VAT, GST, or other transaction taxes. Where Abundera is required to collect tax, it will be added at checkout. Senders are responsible for any withholding obligations under their local law.

3. Refunds

3.1 Monthly plans

Monthly subscriptions are non-refundable mid-cycle but cancel without penalty for the next billing period.

3.2 Annual plans

Annual plans are eligible for a pro-rated refund within 30 days of purchase. After 30 days annual plans are non-refundable; cancellation prevents the next renewal.

3.3 Founding Members

Founding Member pricing locks the listed discount for the lifetime of the subscription as long as the subscription remains active and in good standing. Lapse for >90 days forfeits the locked-in pricing.

4. Document retention, cancellation, termination

4.1 Cancellation by you

You may cancel at any time via the dashboard. Existing signed envelopes and their evidence packages remain accessible for download until the standard retention window in §4.4 ends.

4.2 Document retention

Completed envelopes (signed PDF + evidence package + audit trail) are retained for 7 years after envelope completion. This window aligns with IRS document-retention norms for executed agreements and ESIGN/UETA evidentiary admissibility timelines. Custom retention windows (longer or shorter) are available on Enterprise contracts.

4.3 Termination by us

We may suspend or terminate accounts that violate the Acceptable Use rules (§6), submit fraudulent payment information, or use the Service for content that violates US export controls or sanctions law. We will notify the account owner by email at least 7 days before termination unless the violation creates immediate risk to other users or the Service.

4.4 Account deletion

Sender account data is deleted within 30 days of an account deletion request. Signed envelopes and their evidence packages are retained per §4.2 (subject to legal hold or pending dispute resolution).

5. Content, intellectual property, and license

5.1 Your content

Senders own the documents they upload and the data they enter. You grant Abundera a limited, non-exclusive, worldwide license to host, transmit, render, and process the documents solely as necessary to deliver the Service and meet evidentiary retention obligations under §4.2.

5.2 Our service

Abundera, Inc. owns all rights to the Service, including the cryptographic evidence pipeline, the verification UI, the API, the documentation, and the visual identity. You may not reverse-engineer the Service except to the extent permitted by applicable law.

5.3 Signer rights to the executed document

Signers receive a copy of the completed Evidence Package by email at envelope completion. The Evidence Package is theirs to retain indefinitely. Their continued ability to verify the document via abundera.ai's public verification page depends on Abundera's continued operation; the PAdES signature on the PDF itself is verifiable offline using any standards-compliant verifier.

6. Acceptable Use

You may not use Abundera Sign to: collect signatures from minors; sign documents you have no legal authority to send; impersonate another individual or organization; sign anything illegal under US federal law or the law of the Sender's jurisdiction; collect signatures under duress or false pretenses; circumvent verification flows; or send unsolicited bulk envelopes (signing requests are not advertising and not subject to CAN-SPAM, but bulk-unwanted requests violate these Terms).

7. Rate limits and operational caps

The Service enforces per-account rate limits documented in the API reference. Limits exist to protect Service stability and are not subscription terms — they may change with reasonable notice. Sustained traffic above plan limits may result in throttling, paid overage (where available), or required upgrade.

8. Privacy and data protection

Our handling of personal data is governed by the Privacy Policy. EEA / UK Senders may request a Data Processing Addendum at abundera.ai/legal/dpa.

9. ESIGN, UETA, and electronic signature legality

By signing an envelope through Abundera Sign you consent to do business electronically with the Sender. Where you reside in the United States, your electronic signature has the same legal effect as a handwritten signature under the federal Electronic Signatures in Global and National Commerce Act (ESIGN, 15 U.S.C. §7001) and the Uniform Electronic Transactions Act (UETA) as adopted by your state.

You may withdraw your consent at any time before completing an envelope by closing the signing window. Once an envelope is completed, the Evidence Package is final. You may request a paper copy of any envelope you signed by emailing support@abundera.ai within the 7-year retention window.

Outside the United States, applicable electronic-signature laws vary (eIDAS in the EU, eSIGN Act in Australia, etc.). Senders are responsible for ensuring electronic signatures are valid for their use case in the relevant jurisdiction.

10. Warranties and disclaimers

Abundera Sign is provided "as is" and "as available". We disclaim all warranties not expressly granted in these Terms, including merchantability, fitness for a particular purpose, and non-infringement. Cryptographic verification primitives (PAdES, RFC 3161) are implemented to published standards but no e-signature platform can guarantee admissibility in every court in every jurisdiction.

11. Limitation of liability

To the maximum extent permitted by applicable law, Abundera, Inc.'s total liability arising out of or related to these Terms or the Service is limited to the greater of (a) the amounts paid by you to Abundera in the 12 months preceding the event giving rise to the claim, or (b) US$100. Abundera will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data, or business opportunities.

12. Indemnification

You will defend, indemnify, and hold harmless Abundera, Inc. and its officers, directors, employees, and agents from any third-party claim arising out of (a) content you upload or send through the Service, (b) your violation of these Terms or applicable law, or (c) your infringement of any third party's rights.

13. Changes to these Terms

Material changes are announced via email to active Senders at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. The "Last reviewed" date at the top of this page reflects the most recent material change.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in New Castle County, Delaware. Both parties waive any right to a jury trial. Class actions are waived to the extent permitted by law.

15. Export controls and sanctions

You represent that you are not located in, under the control of, or a national or resident of any country subject to US export-control sanctions, and are not on any US government denied-party list. You will not use the Service in violation of US export controls.

16. Assignment

You may not assign these Terms without Abundera's prior written consent. Abundera may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.

17. Entire agreement and severability

These Terms, the Privacy Policy, and any Order Form or Enterprise contract you've signed with us constitute the entire agreement between you and Abundera regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect.
